TOWR akan menerbitkan hingga <strong>8,08 miliar saham baru<\/strong> dengan harga pelaksanaan <strong>Rp680 per saham<\/strong>, jauh di atas harga penutupan saham TOWR pada Selasa (1\/7\/2025) yang berada di level <strong>Rp494<\/strong>.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Rasio dan Tujuan Rights Issue TOWR<\/h3>\n\n\n\n<p>Rights issue ini menggunakan rasio <strong>100 saham baru untuk setiap 619 saham lama<\/strong>, yang setara dengan <strong>13,91% dari total saham beredar setelah pelaksanaan<\/strong>. Dana hasil rights issue akan digunakan sepenuhnya untuk <strong>meningkatkan kepemilikan TOWR di anak usahanya, PT Profesional Telekomunikasi Indonesia (Protelindo)<\/strong>.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Perubahan Struktur Kepemilikan Saham<\/h3>\n\n\n\n<p>Sebelum rights issue:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>PT Sapta Adhikari Investama (SAI)<\/strong>: 52,46% (26,76 miliar saham)<\/li>\n\n\n\n<li><strong>PT Dwimuria Investama Andalan (DIA)<\/strong>: 8,33% (4,25 miliar saham)<\/li>\n\n\n\n<li><strong>Publik<\/strong>: 37,29%<\/li>\n\n\n\n<li><strong>Total saham beredar<\/strong>: 51,01 miliar lembar (termasuk 977 juta saham treasuri)<\/li>\n<\/ul>\n\n\n\n<p>Setelah rights issue (asumsi SAI tidak ambil bagian dan DIA menyerap seluruh sisa saham):<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>SAI<\/strong> terdilusi menjadi 45,29%<\/li>\n\n\n\n<li><strong>DIA<\/strong> meningkat menjadi 20,86% (12,33 miliar saham)<\/li>\n\n\n\n<li><strong>Publik<\/strong> menjadi 32,19%<\/li>\n\n\n\n<li><strong>Total saham beredar<\/strong>: 59,09 miliar lembar<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Jadwal Penting Rights Issue TOWR<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Cum Date Pasar Reguler &amp; Negosiasi<\/strong>: 8 Juli 2025<\/li>\n\n\n\n<li><strong>Perdagangan HMETD<\/strong>: 14\u201318 Juli 2025<\/li>\n\n\n\n<li><strong>Dilusi maksimum<\/strong> bagi pemegang saham yang tidak menggunakan haknya: <strong>13,91%<\/strong><\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Pergerakan Saham TOWR dan Valuasi<\/h3>\n\n\n\n<p>Pada perdagangan sesi I, Rabu (2\/7\/2025), saham TOWR melonjak <strong>11,34% ke Rp550<\/strong> setelah dibuka di Rp494. Volume perdagangan mencapai <strong>148,03 juta saham<\/strong> dengan nilai transaksi <strong>Rp81,17 miliar<\/strong>.<\/p>\n\n\n\n<p>Namun, secara teknikal:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Saham TOWR terkoreksi <strong>5,98% dalam sebulan<\/strong><\/li>\n\n\n\n<li>Turun <strong>16,03% secara year to date (YtD)<\/strong><\/li>\n\n\n\n<li>Kapitalisasi pasar: <strong>Rp28,06 triliun<\/strong><\/li>\n\n\n\n<li>Valuasi: <strong>PER 8,74x<\/strong> dan <strong>PBV 1,44x<\/strong><\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Kesimpulan<\/h3>\n\n\n\n<p>Rights issue TOWR menjadi langkah strategis untuk memperkuat posisi di sektor menara telekomunikasi melalui peningkatan kepemilikan di Protelindo. Dengan harga pelaksanaan premium dan dukungan dari pemegang saham utama seperti DIA, aksi korporasi ini diharapkan memperkuat struktur modal dan mendukung ekspansi jangka panjang.
