Agenda ini akan disetujui melalui Rapat Umum Pemegang Saham Tahunan (RUPST) pada <strong>25 Maret 2025<\/strong>.<\/p>\n\n\n\n<p>Dividen per saham ditetapkan sebesar <strong>Rp85,7<\/strong>, sementara Rp100 juta akan dialokasikan sebagai cadangan umum, sesuai peraturan UU No. 44 Tahun 2007. Sisa laba sebesar Rp698,91 juta akan dialokasikan untuk pengembangan usaha.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Perubahan Kepemimpinan: Dian Siswarini Digantikan Rajeev Sethi<\/strong><\/h3>\n\n\n\n<p>Dalam RUPST, EXCL juga akan meminta persetujuan atas pengunduran diri beberapa pejabat kunci, termasuk <strong>Dian Siswarini<\/strong> sebagai Presiden Direktur. Sinergi ini membentuk entitas baru bernama <strong>PT XLSmart Telecom Sejahtera Tbk (XLSmart)<\/strong> dengan valuasi lebih dari <strong>Rp104 triliun<\/strong>.<\/p>\n\n\n\n<p>Sebagai bagian dari perjanjian, XL Axiata akan tetap beroperasi sebagai entitas eksisting, sementara Smartfren dan SmartTel bergabung menjadi XLSmart. <strong>Axiata Group Berhad<\/strong> dan <strong>Sinar Mas<\/strong> akan berbagi kendali atas entitas baru, masing-masing memiliki 34,8% saham.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Kebijakan Dividen: Komitmen terhadap Pemegang Saham<\/strong><\/h3>\n\n\n\n<p>Sejak 2011, EXCL telah menetapkan kebijakan dividen minimal 30% dari laba bersih yang dinormalisasi. Total laba bersih yang dapat diatribusikan mencapai <strong>Rp1,27 triliun<\/strong>.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Masa Depan Setelah Merger<\/strong><\/h3>\n\n\n\n<p>Setelah transaksi selesai, Axiata diperkirakan akan menerima <strong>US$475 juta<\/strong>, dengan <strong>US$400 juta dibayarkan segera<\/strong> dan sisanya berdasarkan syarat tertentu.<\/p>\n\n\n\n<p>Merger ini menegaskan posisi XL Axiata sebagai pemain utama di sektor telekomunikasi dengan kekuatan finansial dan strategis yang lebih baik.
