REGULAR INVESTORS – PT Merdeka Battery Materials Tbk (MBMA)<\/strong> berencana melaksanakan Penambahan Modal Tanpa Hak Memesan Efek Terlebih Dahulu (PMTHMETD)<\/strong> atau yang dikenal sebagai private placement.<\/p>\n\n\n\n

Persetujuan Pemegang Saham<\/h3>\n\n\n\n

Rencana private placement ini akan dilaksanakan setelah mendapatkan persetujuan dari pemegang saham dalam rapat umum pemegang saham luar biasa yang dijadwalkan pada 6 Desember 2024<\/strong>. Berdasarkan informasi yang dirilis oleh Bursa Efek Indonesia (BEI)<\/strong> pada Jumat (29\/11), MBMA akan menerbitkan hingga 10.799.541.990 saham<\/strong>, yang setara dengan 10% dari total modal disetor dan ditempatkan oleh perusahaan.<\/p>\n\n\n\n

Tujuan Private Placement<\/h3>\n\n\n\n

Corporate Secretary PT Merdeka Battery Materials Tbk, Deny Greviartana Wijaya<\/strong>, menjelaskan bahwa tujuan dari private placement ini adalah untuk memperkuat struktur permodalan perusahaan. Langkah ini diambil untuk mendukung pengembangan usaha serta ekspansi grup perusahaan di seluruh rantai nilai mineral strategis dan bahan baku baterai kendaraan listrik.<\/p>\n\n\n\n

Rincian Penggunaan Dana<\/h3>\n\n\n\n

Berikut adalah rincian penggunaan dana yang diperoleh dari private placement:<\/p>\n\n\n\n

  • 15%<\/strong> dari total dana akan dialokasikan untuk kebutuhan modal kerja, yang mencakup biaya karyawan, jasa profesional, pajak, dan biaya keuangan lainnya.<\/li>\n\n\n\n
  • Dana juga akan digunakan untuk pengembangan usaha, seperti belanja modal, pembelian saham, aset, penyertaan saham, atau pemberian pinjaman kepada satu atau lebih perusahaan yang beroperasi di industri yang relevan atau mendukung kegiatan usaha grup perseroan.<\/li>\n<\/ul>\n\n\n\n

    Persentase penggunaan dana ini dapat disesuaikan dengan kebutuhan grup perseroan. Grup perseroan diartikan sebagai perusahaan yang memiliki lebih dari 50% saham dengan hak suara, baik secara langsung maupun tidak langsung, atau memiliki kurang dari 50% saham dengan hak suara tetapi MBMA tetap dapat mengendalikan perusahaan tersebut.<\/p>\n\n\n\n

    Komitmen Mematuhi Regulasi<\/h3>\n\n\n\n

    MBMA berkomitmen untuk mematuhi semua ketentuan yang diatur dalam peraturan perundang-undangan di bidang pasar modal. Hal ini terutama jika rencana penggunaan dana hasil private placement memenuhi kriteria sebagai transaksi afiliasi, benturan kepentingan, atau transaksi material, seperti yang dinyatakan oleh Deny dalam keterangan resminya pada Jumat (29\/11).<\/p>\n\n\n\n
